Agent Terms of Service

1. Introduction

These Agent Terms of Service ("Agent Terms") govern your use of the CruiseAlert agent platform at agents.cruisealert.com ("Agent Platform"). They supplement and must be read alongside the CruiseAlert Terms of Service (cruisealert.com/legal/terms), which also apply to you.

These Agent Terms apply specifically to licensed travel agents ("Agents") using the Agent Platform. If any provision of these Agent Terms conflicts with the general Terms of Service, these Agent Terms govern for Agent accounts.

By creating an agent account or using the Agent Platform, you agree to these Agent Terms.


2. Agent Account Requirements

2.1 Eligibility

To create and maintain an agent account, you must:

  • Be a licensed travel agent or travel agency professional in your jurisdiction
  • Be at least 18 years old
  • Have the authority to bind yourself (and your agency, if applicable) to these Agent Terms
  • Comply with all applicable travel industry regulations, licensing requirements, and consumer protection laws in your jurisdiction

2.2 Verification

We reserve the right to verify your agent credentials at any time. You agree to provide, upon request:

  • Your travel agent license or accreditation number (e.g., IATA/ARC/CLIA/TICO)
  • Your agency name and address
  • Other reasonable documentation of your professional status

We may reject, suspend, or terminate agent accounts if verification fails or if credentials lapse.

2.3 Agency Accounts

If you create an account on behalf of a travel agency or company:

  • You represent that you are authorized to bind that entity to these Agent Terms
  • References to "you" in these Agent Terms include the entity you represent
  • You are responsible for ensuring all individuals at your agency who use the Agent Platform comply with these Agent Terms

2.4 Accurate Information

You must keep your agent profile accurate and up to date, including your name, agency name, contact information, and specializations. An inaccurate profile may result in account suspension.


3. Agent Platform Features

The Agent Platform provides:

  • Price tracking dashboards: Monitor cruise prices for sailings you are actively researching for clients
  • Multi-tracker management: Create and manage price alerts across multiple sailings and clients
  • Consumer lead matching: Receive introductions to consumers who have opted in to connect with a travel agent
  • Price history and analytics: View historical pricing data for sailings you track

4. Consumer Data Handling Obligations

This section is critical. When you receive consumer data through the Agent Platform (via the lead matching feature), you take on legal obligations as a data handler. Please read this carefully.

4.1 Purpose Limitation

Consumer data shared with you through the Agent Platform may only be used to respond to and assist that specific consumer with their cruise inquiry. You must not:

  • Use consumer data for any other marketing purpose
  • Add consumers to your agency's general marketing list without their separate, explicit consent
  • Share consumer data with third parties (including co-agents, booking platforms, or other services) without the consumer's knowledge and consent
  • Retain consumer data after the inquiry is resolved, beyond what is reasonably required for record-keeping

4.2 Data Security

You must implement appropriate security measures to protect consumer data, including:

  • Storing consumer contact details securely (not in unsecured spreadsheets or email inboxes)
  • Restricting access to consumer data to staff who need it to assist the inquiry
  • Promptly deleting consumer data when it is no longer needed

4.3 Consumer Rights Requests

If a consumer contacts you to request deletion or access to data you hold about them, you must honor the request within a reasonable timeframe (within 30 days for GDPR-covered consumers) and notify us at legal@cruisealert.com.

4.4 Data Breach Notification

If you experience a data breach that includes consumer data received through CruiseAlert, you must notify us at legal@cruisealert.com within 48 hours of becoming aware of the breach. We will coordinate with you on notifications to affected consumers and relevant authorities.

4.5 Applicable Law Compliance

You are responsible for complying with all privacy and data protection laws applicable to your handling of consumer data in your jurisdiction (e.g., GDPR if you are in the EU, CCPA if you serve California consumers, PIPEDA for Canadian consumers).

Attorney review note: Depending on the volume and type of consumer data shared, a formal Data Processing Agreement (DPA) may be required between CruiseAlert and each agent, particularly for GDPR compliance. This Agent Terms section is a stop-gap — a standalone DPA should be drafted.


5.1 Opt-In Only

Consumers are only introduced to agents if they have explicitly opted in to be connected with a travel agent. CruiseAlert will not share consumer contact information with agents without the consumer's prior consent.

5.2 Nature of Introductions

A consumer introduction is not an exclusive referral. CruiseAlert may introduce a consumer to more than one agent. CruiseAlert does not guarantee that the consumer will book with you or any agent.

5.3 Your Responsibility in Outreach

When contacting a consumer introduced through CruiseAlert:

  • You must identify yourself and your agency clearly
  • You must explain that you received their contact information through CruiseAlert
  • You must provide an easy way for the consumer to opt out of further contact from you
  • You must not contact them outside of the communication channel(s) they have provided

6. Subscription and Payment

6.1 Fee Structure

Access to the Agent Platform may require a paid subscription. Current pricing is listed at agents.cruisealert.com/pricing.

Placeholder note: Detailed subscription tiers, pricing, billing cycles, and specific terms will be set out in a separate Order Form or subscription agreement. This section will be updated when pricing is finalized.

6.2 Affiliate Commissions

If CruiseAlert operates an affiliate commission program (where you receive compensation for bookings made by consumers introduced through the platform), those terms will be set out in a separate Affiliate Agreement.

6.3 Payment Terms

  • Subscription fees are billed in advance
  • Fees are non-refundable except as required by applicable law or as set out in a refund policy
  • If payment fails, we may suspend your account until payment is resolved
  • Prices may change with 30 days' notice

7. Prohibited Conduct for Agents

In addition to the general Acceptable Use Policy, agents must not:

  • Misrepresent themselves as affiliated with CruiseAlert or as a CruiseAlert employee
  • Use the Agent Platform to access competitor research tools or data scraping for non-CruiseAlert purposes
  • Create fake consumer inquiries or manipulate the lead matching system
  • Use the platform to engage in price collusion or market manipulation
  • Violate any applicable travel agent licensing laws or consumer protection regulations

8. Intellectual Property

Agent Platform dashboards, price data compilations, and software are owned by CruiseAlert. Your use of the Agent Platform does not grant you ownership or license to reproduce our data outside of the platform.

Your agency name, logo (if provided for your profile), and client information remain your property.


9. Confidentiality

You agree to keep confidential any non-public technical, commercial, or pricing information you access through the Agent Platform that is clearly designated as confidential or that a reasonable person would understand to be confidential. This does not apply to information that is publicly available or that you already knew independently.


10. Representations and Warranties

By using the Agent Platform, you represent and warrant that:

  • All information in your agent profile is accurate and truthful
  • You hold all required licenses and registrations to operate as a travel agent in your jurisdiction
  • You will handle consumer data in compliance with applicable law
  • Your use of the Agent Platform will not violate any law or any agreement with a third party

11. Termination

11.1 Your Right to Terminate

You may cancel your agent account at any time by contacting legal@cruisealert.com. Upon cancellation:

  • Your access to the Agent Platform will cease at the end of the current billing period
  • You must delete any consumer data received through the platform that is no longer required for active inquiries

11.2 Our Right to Terminate

We may suspend or terminate your agent account immediately and without notice if:

  • You violate these Agent Terms or the general Terms of Service
  • Your travel agent license lapses or is revoked
  • We receive credible reports of consumer harm, fraud, or misuse of consumer data
  • You fail to pay subscription fees

11.3 Data Upon Termination

Upon termination:

  • You must promptly delete consumer data received through CruiseAlert that is no longer required for active inquiries
  • We will handle your agent account data per our Privacy Policy and Data Retention Policy

12. Limitation of Liability

THE AGENT PLATFORM IS PROVIDED FOR PROFESSIONAL USE. IN ADDITION TO THE LIMITATIONS IN THE GENERAL TERMS OF SERVICE:

  • CruiseAlert is not liable for losses arising from inaccurate price data, missed alerts, or platform downtime
  • CruiseAlert is not responsible for the outcome of any consumer relationship or booking
  • CruiseAlert does not warrant that the lead matching service will generate any specific volume of leads

13. Changes to Agent Terms

We may update these Agent Terms from time to time. We will provide 30 days' notice of material changes via email to your registered agent email address. Your continued use of the Agent Platform after the effective date of changes constitutes acceptance.


14. Governing Law

These Agent Terms are governed by the laws of the Netherlands. Dispute resolution follows the process set out in the general Terms of Service.
